An ASA round is built around the ASA terms, corporate approvals, investor agreements, and final review.

The ASA terms section can include:

  • valuation cap

  • discount

  • longstop date

  • target subscription

  • qualifying financing threshold

  • SEIS/EIS-compatible terms

Undo may flag whether the selected terms are compatible with the intended tax relief workflow. Tax relief is not guaranteed, but the product helps flag terms that need attention.

The Approval or Paperwork section can include:

  • board minutes

  • shareholder resolution

  • ASA agreement

  • founder service agreement

  • IP assignment

  • corporate approvals

If the company already has signed documents, upload them. If not, Undo can generate the required documents as part of the round workflow.

The Investors section lets you create one ASA per investor. Each investor agreement can have its own:

  • investor name

  • email

  • investment amount

  • tax scheme

  • longstop date

  • valuation cap

  • discount

The product also supports requiring an NDA and FCA disclaimer before investors can access round documents.

At review, Undo shows the round configuration before launch. Nothing is sent to investors until the round is launched.

The final launch step may include a one-time activation payment. After payment, the round workspace opens so you can review the round, make final adjustments, prepare the Data Room, invite investors, and start signing workflows.
