What is Undo Capital?
Undo Capital is a compliance and equity management platform built specifically for UK startups raising under SEIS and EIS.
Most early-stage founders deal with the same painful reality: HMRC paperwork is confusing, cap tables live in spreadsheets, and data rooms are cobbled together from Google Drive folders. Undo brings all of this into one place, purpose-built for the UK regulatory environment.
What you can do with Undo
With Undo, you can apply for SEIS and EIS Advance Assurance, manage your cap table as your shareholding structure evolves across funding rounds, run a structured funding round from term sheet to closing, and share a professional data room with investors without juggling file permissions across email threads.
Everything is connected. When you close a round, your cap table updates. When you apply for Advance Assurance, the information you've already entered carries through.
Who is Undo for?
Undo is built for founders of UK-incorporated companies who are raising their first or second round under SEIS or EIS. You don't need to be a lawyer or an accountant to use it. The product is designed to make regulated processes legible and manageable without professional intermediaries for every step.
What Undo doesn't do
Undo is not a law firm and does not provide legal advice. It is not a fund administrator and does not manage investor vehicles or SPVs. For complex structuring questions, you should speak to a qualified adviser.
Getting started
When you create an account, Undo walks you through your company setup: incorporation details, share structure, and founding team. From there you can start an Advance Assurance application, build out your cap table, or set up a data room for an active raise.
If you have questions at any point, you can reach us via this help centre or through the chat in the product.
