Choose between issuing shares now, recording past ownership, or creating a historical event that rebuilds your cap table history.

Ownership changes are recorded through share issues, transactions, or historical events.

When issuing shares, Undo may ask whether the shares are:

  1. New share issue

  2. Historical share issue

Choose New share issue when the company is issuing shares today. Undo guides the workflow through approvals, generated documents, and statutory filing tasks.

Choose Historical share issue when the shares were issued before the company started using Undo. In that case, Undo records the past ownership and lets you upload existing documents instead of generating new approvals.

If you are setting up founder shares that were issued when the company was incorporated, choose Historical share issue.

A share issue may ask for:

  • stakeholder

  • share class

  • number of shares

  • price per share

  • nominal value

  • total consideration

  • issue date

  • vesting or reverse vesting details

  • funding round link, if relevant

  • supporting documents

Historical events can also be used for wider cap table history.

Event types shown in the product include:

  • Funding Round

  • Share Issuance

  • Share Transfer

  • Option Grant

  • Option Exercise

  • Option Lapse

  • Convertible Note

  • SAFE Conversion

  • Share Buyback

Each event creates a record in the cap table history. Supporting documents can be uploaded and linked to the event. Where relevant, the event can also create related share issuances and compliance tasks.
